1. The Service
Parla is an AI speaking coach for language learners. The Service includes voice and text conversations with our AI coach, Echo, speech-to-text transcription, text-to-speech playback, pronunciation feedback, vocabulary practice, roleplay scenarios, news-based learning content and progress tracking.
The Service is intended for personal, non-commercial language learning.
2. Eligibility
- You must be at least 13 years old to use the Service.
- If you are under 18 (or under the age of majority where you live), you may use the Service only with the verifiable consent of your parent or lawful guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service.
- You must be legally able to enter into a binding contract and must not be barred from using the Service under any applicable law.
3. Your account
- You need an account to use most features. You agree to provide accurate information and keep it up to date.
- You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Notify us immediately at support@poelys.com if you suspect unauthorised use.
- Your account is personal to you. You may not sell, transfer or share it.
- You can delete your account at any time. See How to Delete Your Account.
4. Acceptable use
You agree not to, and not to help anyone else to:
- use the Service in violation of any applicable law or regulation;
- submit content that is unlawful, harassing, hateful, defamatory, obscene, sexually explicit involving minors, threatening, or that promotes violence or self-harm;
- impersonate any person, or record or upload the voice of another person without their permission;
- upload content that infringes anyone's intellectual property, privacy or other rights;
- attempt to obtain instructions or content for illegal, dangerous or harmful activities, or try to circumvent the safety measures of the AI features ("jailbreaking");
- reverse engineer, decompile, scrape or attempt to extract the source code, models, prompts or data of the Service, except to the extent permitted by law;
- access the Service or our API by automated means (bots, scripts, scrapers) other than through the official apps and website, or use the Service to build a competing product;
- interfere with or disrupt the Service, its servers or networks, including by introducing malware, overloading the infrastructure, or bypassing rate limits, authentication or access controls;
- resell, sublicense or commercially exploit the Service without our written permission; or
- use outputs of the Service to develop or train AI models that compete with the Service.
We may investigate and take appropriate action against any violation, including removing content and suspending or terminating accounts.
5. AI-generated content
The Service uses artificial intelligence, including third-party AI and speech models, to generate conversations, corrections, pronunciation feedback, translations, vocabulary and other content ("AI Output"). You understand and agree that:
- AI Output may be inaccurate, incomplete or inappropriate. Language models can make mistakes, including grammatical, factual, cultural and pronunciation errors. Always use your own judgement.
- Echo is not a person. You are interacting with an automated system, not a human tutor.
- Not professional advice. AI Output is provided for language-learning purposes only and is not medical, mental-health, legal, financial, immigration, or other professional advice. Do not rely on it for those purposes. If you need such advice, consult a qualified professional.
- No official certification. Feedback, scores and levels shown in the Service are learning aids. They are not official language certifications or assessments, and are not endorsed by any examination body.
- News and current-events content may be summarised or adapted by AI and may contain errors or be out of date. Refer to the original source for accurate information.
- Similar output. AI Output may be similar to output generated for other users, and you do not acquire exclusive rights in it.
- Emergencies. The Service is not designed for, and must not be used in, emergencies. If you are in crisis, contact local emergency services.
6. Your content
"Your Content" means voice recordings, text, and other material you submit to the Service.
- Ownership. You retain ownership of Your Content.
- Licence to us. You grant Parla a worldwide, non-exclusive, royalty-free, limited licence to host, store, process, transmit, transcribe, analyse and display Your Content solely to operate, provide, secure and improve the Service for you, including by sending it to our service providers (such as AI and speech providers) as described in our Privacy Policy. This licence ends when Your Content is deleted from our systems, except where retention is required by law or for backups that are deleted on a rolling cycle.
- No sale. We do not sell Your Content and do not use it for advertising.
- Your responsibility. You confirm that you have the rights needed to submit Your Content and that it does not violate these Terms or any law. Please do not include sensitive personal information about yourself or others.
- Feedback. If you send us suggestions or feedback about the Service, we may use them without obligation to you.
7. Our intellectual property
The Service, including its software, design, logos, the "Parla" and "Echo" names, lesson content, scenarios, and all related intellectual property, is owned by Parla or its licensors and is protected by law.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to download and use the apps and access the Service for your personal, non-commercial learning. All rights not expressly granted are reserved.
8. Third-party services and content
The Service relies on and may link to services provided by third parties, such as AI and speech providers, sign-in providers, hosting providers, app stores and news sources. We are not responsible for third-party services or content, and your use of them may be subject to their own terms and policies.
9. Subscriptions and payments
This section applies only if and when Parla offers paid plans, subscriptions or in-app purchases. Until then, the Service is provided free of charge, and we may introduce paid features in future with notice.
If paid plans are offered:
- Pricing and features will be shown clearly before you purchase. Prices may include or exclude applicable taxes (such as GST) as indicated.
- App store purchases. Purchases made through the Apple App Store or Google Play are processed by Apple or Google and are subject to their payment terms. Manage or cancel subscriptions through your app store account settings.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date (or as otherwise required by the app store).
- Free trials. If a free trial is offered, you will be charged when it ends unless you cancel before then.
- Cancellation. Cancelling stops future renewals; you keep access until the end of the current paid period.
- Refunds. Refunds for app store purchases are handled by Apple or Google under their refund policies. For purchases made directly with us, refunds are provided where required by applicable law or as stated at the time of purchase.
- Price changes. We will give you advance notice of price changes, and you can cancel before they take effect.
- Deleting your account does not automatically cancel an app store subscription. Cancel it in your app store settings first.
10. Changes to the Service
We are continually improving Parla. We may add, change, or remove features, change the AI or speech providers we use, or suspend parts of the Service. Where a change materially and adversely affects you, we will try to give reasonable notice.
11. Suspension and termination
- By you. You may stop using the Service and delete your account at any time.
- By us. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, if your use creates risk or legal exposure for us or others, or if we discontinue the Service. Where reasonable, we will tell you why and give you an opportunity to respond.
- Effect. On termination, your right to use the Service ends, and your data will be handled as described in our Privacy Policy and Account Deletion guide. Sections that by their nature should survive (including Sections 5, 6 (Feedback), 7, 12, 13, 14 and 15) survive termination.
12. Disclaimers
To the fullest extent permitted by law, the Service and all AI Output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not guarantee any particular learning outcome, test result or level of fluency.
Nothing in these Terms excludes rights you have as a consumer that cannot be excluded under applicable law, including the Consumer Protection Act, 2019.
13. Limitation of liability
To the maximum extent permitted by applicable law:
- Parla and its team members, affiliates and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or relating to the Service or these Terms; and
- our total aggregate liability for all claims relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) INR 1,000.
These limitations do not apply to liability that cannot be limited or excluded by law, such as liability for fraud or for death or personal injury caused by negligence.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Parla from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, Your Content, or your misuse of the Service.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer protection rights you have where you live, the courts of India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Before starting formal proceedings, please contact us at support@poelys.com so we can try to resolve the issue informally. We will try in good faith to resolve disputes within 30 days.
16. App store terms
If you download the app from the Apple App Store or Google Play, you also agree to that store's terms. For apps obtained from the Apple App Store:
- these Terms are between you and Parla, not Apple, and Apple is not responsible for the app or its content;
- Apple has no obligation to provide maintenance or support for the app;
- to the maximum extent permitted by law, Apple has no warranty obligation with respect to the app; if the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any);
- Apple is not responsible for addressing any claims relating to the app, including product liability, legal or regulatory compliance, or intellectual-property infringement claims;
- you represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Where these Terms conflict with Apple's Standard Licensed Application End User License Agreement, these Terms apply to the extent permitted by Apple.
17. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, notify you in the app or by email before the changes take effect. If you continue to use the Service after the changes take effect, you accept the updated Terms. If you do not agree, you should stop using the Service and may delete your account.
18. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Parla regarding the Service.
- Severability. If any provision is found unenforceable, the rest remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets, with notice to you.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Language. If these Terms are translated, the English version prevails.
